These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and CognisRAG ("we," "our," or "us") governing your access to and use of the CognisRAG platform at https://cognisrag.com (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

CognisRAG is a document intelligence platform that enables users to upload, process, and interact with documents using artificial intelligence. The Service includes:

  • Document upload and storage
  • AI-powered document analysis and embedding generation
  • Natural language querying and chat functionality
  • Document retrieval and search capabilities

3. User Accounts

3.1 Registration

To access the Service, you must create an account using Google OAuth authentication. You agree to provide accurate and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised access or use of your account.

3.3 Account Restrictions

You must be at least 16 years old to use the Service. By creating an account, you represent that you meet this age requirement.

4. User Content

4.1 Ownership

You retain all ownership rights to the documents and content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited licence to process, store, and analyse your content solely for the purpose of providing the Service.

4.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to upload and use the User Content
  • Your User Content does not infringe any third-party intellectual property rights
  • Your User Content does not violate any applicable laws or regulations

4.3 Prohibited Content

You agree not to upload content that:

  • Is illegal, harmful, threatening, abusive, or defamatory
  • Infringes intellectual property rights of others
  • Contains malware, viruses, or malicious code
  • Violates the privacy or data protection rights of others
  • Contains sensitive personal data of third parties without proper authorisation

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Attempt to gain unauthorised access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to transmit spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Resell, sublicense, or commercially exploit the Service without authorisation
  • Circumvent any access controls or usage limits

6. Intellectual Property

The Service, including its original content, features, functionality, design, and branding, is owned by CognisRAG and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual licence to use and incorporate such feedback into the Service.

7. Third-Party Services

The Service integrates with third-party services including Supabase, Google Cloud, and Vercel. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

8. AI-Generated Content

The Service uses artificial intelligence to process documents and generate responses. You acknowledge that:

  • AI-generated outputs may contain errors or inaccuracies
  • AI responses should not be relied upon as professional, legal, medical, or financial advice
  • You are responsible for verifying the accuracy of any AI-generated content before relying on it

9. Service Availability

We strive to maintain the availability of the Service but do not guarantee uninterrupted access. We reserve the right to:

  • Modify, suspend, or discontinue the Service at any time
  • Perform maintenance that may temporarily affect availability
  • Impose limits on certain features or restrict access to parts of the Service

We will make reasonable efforts to provide advance notice of planned downtime.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COGNISRAG BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CognisRAG and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of a third party

13. Termination

13.1 Termination by You

You may terminate your account at any time by discontinuing use of the Service and requesting account deletion.

13.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include:

  • Violation of these Terms
  • Conduct that we determine is harmful to other users or the Service
  • Extended periods of inactivity

13.3 Effect of Termination

Upon termination, your right to access the Service will cease immediately. We may delete your account and User Content following termination.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last Updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CognisRAG regarding the Service.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
